POSITION SUMMARY The Senior Contracts Analyst works as part of the contract administration team within the Law Department to protect the company by ensuring that the terms and conditions of sales transactions are aligned with Vertiv's standards and acceptable. This role involves reviewing, drafting, and negotiating customer orders and sales agreements, ensuring clarity and alignment with Vertiv's terms of sale and internal guidelines. The Senior Contracts Analyst will be expected to leverage advanced analytical skills and a deep understanding of legal and business considerations to resolve complex contractual matters. In addition, this role includes utilizing contract lifecycle software. The Senior Analyst will work independently and collaborate cross-functionally with various departments, maintaining high standards of efficiency, accuracy, and risk mitigation. Senior Contract Analysts do not serve as attorneys for Vertiv, but strong analytical skills are required for the position, and an advanced degree in law (e.g., J.D. or equivalent) can be helpful to demonstrating such analytical skill. RESPONSIBILITIES * Negotiate Sales Contracts with Vertiv's business customers for a specific region or transaction types. * Identify and Resolve critical differences between Vertiv's terms and conditions of sale and customers' terms and conditions (e.g., payment terms, indemnity, limitation of liability, insurance, etc.) and assists with resolving discrepancies. Understands the broader legal and business implications of contractual provisions. * Draft and Propose Alternative Language that resolves negotiation points efficiently and aligns with company goals. * Work closely with internal departments, including Sales, Finance, Risk Management, and others, to ensure that sales contracts support company objectives and are properly executed. * Monitors the contract approval process, ensuring timely and consistent results that align with sales revenue goals and shipping timing * Utilizes contract lifecycle management tools and maintains accurate and up-to-date contract databases and documentation. * Undertake additional tasks and projects as necessary, supporting the goals of the legal and business teams. QUALIFICATIONS Minimum Job Qualifications: * Bachelor's degree or higher. * 3+ years of experience in contract review, negotiation, and administration, with a strong focus on commercial sales contracts. * Proven experience in interpreting, drafting, and negotiating complex contract language. * Ability to manage multiple contracts and high-volume workloads calmly, effectively and independently. * Strong analytical, problem-solving, and decision-making skills, with the ability to consider both legal and business implications. * Excellent verbal and written communication skills, including the ability to negotiate with external customers and internal stakeholders. * Strong attention to detail, strong interpersonal skills, and persistent follow-through with professional tone * Excellent proficiency with Microsoft Office Suite, Adobe Acrobat, and other document management tools. Preferred Qualifications: * 3+ years of experience working for a U.S.-based large corporation, preferably in a contract management, legal, or paralegal role. * Experience working with Contract Lifecycle Management (CLM). * Advanced knowledge of standard commercial sales contract terms and related documentation (e.g., proposals, purchase orders, etc.). * Previous experience in a law-related setting (paralegal, contract review, etc.) is a plus. * Ability to quickly learn and adapt to new information systems and tools.
